General Terms & Conditions of Business

Effective Date: 1 September 2025
Governing Language: English version prevails.

0. Definitions
  1. 0.1 "Business Day" means any weekday excluding public holidays in Bulgaria.
  2. 0.2 "Order" means any purchase request submitted by the Client through the Website or via email.
  3. 0.3 "Written Confirmation" means an order acceptance sent via email or platform message.
  4. 0.4 "Custom Product" means any item manufactured or assembled according to client specifications or uploaded files.
  5. 0.5 "DFM Review" means Design for Manufacturability check carried out before production.
1. General Aspects
  1. 1.1 These Terms and Conditions apply unless the contractual partners have expressly agreed otherwise in writing.
  2. 1.2 By placing an order, the Client accepts our conditions of delivery, payment, and general business terms.
  3. 1.3 These Terms and Conditions apply to all quotations, offers, and orders made by or on behalf of Profiants, regardless of the form of confirmation. By placing an order—whether through our website, by email, telephone, or in person—the Client is deemed to have accepted these Terms and Conditions in full.
2. Prices and Payment
  1. 2.1 All prices are exclusive of VAT, shipping, and packaging, unless stated otherwise.
  2. 2.2 Quoted prices are indicative and subject to file review and confirmation.
  3. 2.3 The price specified in the web form is indicative and becomes binding only after written confirmation and successful file review (DFM check).
  4. 2.4 Prices are valid for 2 months, unless otherwise noted.
  5. 2.5 Profiants may adjust prices due to changes in material costs or currency fluctuations.
  6. 2.6 Full prepayment is required unless otherwise agreed in writing.
  7. 2.7 Bank charges must be borne by the Client (use “OUR” option for international transfers).
  8. 2.8 If agreed payment deadlines are not met, we will charge 5% interest above the European Central Bank base interest rate, along with processing fees.
  9. 2.9 Profiants is entitled to allocate payments to older debts first, followed by costs and interest before the principal.
3. Orders
  1. 3.1 Orders become binding only upon written confirmation.
  2. 3.2 Objections must be submitted in writing within 2 Business Days of confirmation.
  3. 3.3 No cancellation is allowed for Custom Products.
  4. 3.4 Quantity deviation of up to ±10% is acceptable and not subject to complaint.
4. Delivery Times
  1. 4.1 Stated lead times are estimates only and non-binding.
  2. 4.2 Turn-time begins after file approval and full payment (or formal invoice agreement).
  3. 4.3 Delivery dates refer to dispatch from our premises.
  4. 4.4 Profiants is not liable for delays caused by third parties, customs, or force majeure.
  5. 4.5 Delay does not entitle the Client to cancel the order or claim damages.
5. Tools and Jigs
  1. 5.1 Unless agreed otherwise, tools remain the property of Profiants.
  2. 5.2 Storage is guaranteed for 24 months; afterward, tools may be discarded without notice.
  3. 5.3 Reactivation/setup fees may apply for old or modified tooling.
6. Cancellation
  1. 6.1 Cancellation is not permitted once production has started.
  2. 6.2 If cancellation is accepted, costs incurred will be charged accordingly.
  3. 6.3 Profiants reserves the right to cancel orders without liability in case of force majeure or unresolvable technical issues.
7. Returns and Complaints
  1. 7.1 Visible defects must be reported in writing within 7 days of delivery.
  2. 7.2 Profiants may offer repair, replacement, or partial refund, at its discretion.
  3. 7.3 Further claims are excluded if goods have been modified or assembled.
8. Retention of Title
  1. 8.1 Products remain property of Profiants until paid in full.
  2. 8.2 In case of insolvency, Profiants may reclaim unpaid goods.
9. Warranty and Liability
  1. 9.1 Profiants warrants that products meet standard manufacturing specifications.
  2. 9.2 Warranty period is 12 months from delivery date.
  3. 9.3 Warranty is void if goods are modified, misused, or improperly stored.
  4. 9.4 Profiants’ liability is limited to the value of the defective product.
  5. 9.5 No liability is accepted for indirect, consequential, or financial damages.
  6. 9.6 Profiants shall not be held responsible for defects or malfunctions resulting from errors in the customer’s design files, BOM data, or specifications. It is the sole responsibility of the customer to verify that all submitted data (including values, polarities, placements, and circuit logic) are correct. Profiants does not perform electrical or functional validation of customer designs.
10. Intellectual Property and File Responsibility
  1. 10.1 The Client confirms that all uploaded files and data are legally owned or licensed.
  2. 10.2 Profiants assumes no responsibility for IP violations or third-party rights.
  3. 10.3 Files are stored for order processing only and may be deleted after production.
11. Export Controls and Sanctions
  1. 11.1 The Client confirms compliance with EU export regulations.
  2. 11.2 Profiants will not deliver to sanctioned individuals, organizations, or regions.
12. Data Protection
  1. 12.1 Processing of personal data is governed by our Privacy Policy.
  2. 12.2 By placing an order, the Client agrees to the use of data as described therein.
13. Governing Law and Jurisdiction
  1. 13.1 These Terms are governed by Bulgarian law.
  2. 13.2 Disputes shall be resolved by the competent court in Plovdiv, Bulgaria.
14. Changes to These Terms
  1. 14.1 Profiants reserves the right to amend these Terms and Conditions at any time.
  2. 14.2 Updated versions will be published on our website and shall become effective upon publication.
  3. 14.3 It is the Client’s responsibility to review the current Terms before placing each order.
15. Final Provisions
  1. 15.1 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force.
  2. 15.2 Failure to enforce any right or provision shall not constitute a waiver of that right.
  3. 15.3 These Terms constitute the entire agreement between the Client and Profiants, superseding all prior communications or agreements.
